On June 16, 2021 Congress passed H.R. 1187 the “Corporate Governance and Improvement Protection Act” by a vote of 215-214. H.R. 1187 was a package of 10 bills requiring certain types of data to be disclosed to the SEC. In addition, the SEC is currently reviewing public input regarding climate-related and other ESG disclosures. There is speculation that the SEC will issue a NPRM (Notice of Proposed Rulemaking) on the topic in September or October of 2021.

The disclosure of ESG information has been of growing interest the last few years. Traditionally considered outside that which would have been required by the SEC to disclose there has been increased interest ESG related issues. The question being posed now is whether companies are disclosing enough material information to what would be considered a reasonable investor?

BPC is fortunate to have Congressmen Gregory Meeks (D-NY) and Bill Huizenga (R-MI), two of the leading voices on disclosure issues, participate in our July 20, 2021 Event. Both Congressmen currently serve on the House Financial Services Committee.
